Introduction

These Terms of Use (“Terms of Use”) govern each individual user’s access to and use of the AllyGPO supplier portal located at pharmaiq.allygpo.com, together with any successor URL, replacement portal, or extension or variation thereof (collectively, the “Supplier Portal”). The Supplier Portal is owned and operated by AllyGPO, LLC (“AllyGPO,” “we,” “us,” or “our”).

If you access or use the Supplier Portal, or click to accept these Terms of Use when prompted, you agree to be bound by these Terms of Use.

If you are accessing or using the Supplier Portal on behalf of a supplier organization, your access and use are also subject to the Supplier Portal Agreement and the Supplier Portal Terms and Conditions in effect between AllyGPO and that supplier (collectively, the “Supplier Portal Terms”). In the event of any conflict between these Terms of Use and the Supplier Portal Terms, the Supplier Portal Terms control.

If you do not agree to these Terms of Use, or if you are not authorized to access the Supplier Portal on behalf of the applicable supplier organization, you must not access or use the Supplier Portal. 

1. Eligibility and Authorization

You may access and use the Supplier Portal only if:

  • you are at least 18 years old and legally capable of entering into a binding agreement;
  • you are an employee, consultant, contractor, agent, or other authorized representative of a supplier that has been granted access to the Supplier Portal by AllyGPO; and
  • your access has been approved by the applicable supplier organization and, where required, by AllyGPO.

Your right to access and use the Supplier Portal ends immediately if your relationship with the applicable supplier organization ends, your authorization is revoked, or AllyGPO suspends or terminates your access.

2. Additional Portal Terms; Acceptance of Updates

As a condition of access to certain portions or functionality of the Supplier Portal, you may be required to review and accept the Supplier Portal Terms, updated Supplier Portal Terms, or other portal-related notices or acknowledgments presented electronically through the Supplier Portal.

If AllyGPO presents updated Terms of Use or updated Supplier Portal Terms through the Supplier Portal or by other electronic notice and requires your acceptance as a condition of continued access, you must accept those updated terms to continue using the Supplier Portal. If you do not accept, AllyGPO may deny, suspend, or terminate your access to the Supplier Portal without liability.

3. Account Credentials and Security

You are responsible for maintaining the confidentiality of your username, password, multifactor authentication credentials, and any other login or security information associated with your account.

You must not:

  • share your login credentials with any other person;
  • allow any other person to use your account;
  • use another person’s account or credentials; or
  • attempt to circumvent any authentication, access-control, or security measure in the Supplier Portal.

You must promptly notify AllyGPO of any actual or suspected unauthorized access to your account, compromise of your credentials, or other security incident relating to the Supplier Portal.

You are responsible for all activity occurring through your account unless and until AllyGPO has been notified of a compromise and has had a reasonable opportunity to disable or secure the account.

4. Permitted Use

You may use the Supplier Portal only:

  • for lawful purposes;
  • for the internal business purposes of the supplier organization on whose behalf you are accessing the Supplier Portal;
  • in accordance with these Terms of Use; and
  • in accordance with the Supplier Portal Terms and any instructions, policies, or documentation made available by AllyGPO through the Supplier Portal.

No right to access or use the Supplier Portal is granted except as expressly stated in these Terms of Use or the Supplier Portal Terms.

5. Prohibited Conduct

You must not, and must not attempt to:

  • access or use the Supplier Portal other than through the interfaces and functionality made available by AllyGPO;
  • copy, scrape, crawl, spider, harvest, index, extract, monitor, mirror, frame, or otherwise collect or capture any content, data, reports, or information from the Supplier Portal by automated means;
  • use any bot, robot, script, or other automated tool to access, query, interact with, monitor, or extract data from the Supplier Portal;
  • copy, reproduce, distribute, publish, display, transmit, sell, license, sublicense, assign, or otherwise make available any portion of the Supplier Portal except as expressly permitted by the Supplier Portal Terms;
  • reverse engineer, decompile, disassemble, decode, adapt, or otherwise attempt to derive the source code, structure, or underlying ideas of any software, system, or tool used in the Supplier Portal;
  • interfere with, disrupt, disable, overburden, damage, or impair the Supplier Portal or any server, network, or system connected to it;
  • introduce any virus, worm, malware, Trojan horse, logic bomb, or other harmful or malicious code;
  • gain or attempt to gain unauthorized access to any account, data, system, report, or portion of the Supplier Portal;
  • impersonate any person or entity, or misrepresent your identity, affiliation, or authority;
  • upload, submit, or transmit false, misleading, or inaccurate information;
  • use the Supplier Portal in violation of applicable law, regulation, or third-party rights; or
  • use the Supplier Portal in any manner prohibited by the Supplier Portal Terms.

6. Data, Reports, and Portal Content

The Supplier Portal may contain data, reports, analytics, documentation, text, graphics, software, designs, interfaces, and other content or materials (collectively, “Portal Content”).

Portal Content is made available solely for authorized use in connection with the Supplier Portal and remains subject to the Supplier Portal Terms, including any use restrictions, confidentiality obligations, and data-access limitations contained in those documents.

You acknowledge that:

  • Portal Content may be supplied from or derived from third-party sources, third-party systems, or third-party service providers;
  • Portal Content may include estimates, projections, assumptions, normalized reporting metrics, analytics, or hypothetical scenarios; and
  • AllyGPO does not guarantee that Portal Content is accurate, complete, current, or error-free.

You are solely responsible for any decisions or actions you take based on your use of the Supplier Portal or any Portal Content, except to the extent otherwise expressly provided in the Supplier Portal Terms.

7. No Reliance; No Medical or Professional Advice

The Supplier Portal and Portal Content are provided for business, operational, and informational purposes only. Nothing in the Supplier Portal constitutes medical advice, legal advice, accounting advice, or other professional advice.

AllyGPO does not practice medicine and does not provide clinical judgment or patient-specific treatment recommendations through the Supplier Portal.

8. Privacy, Monitoring, and Electronic Communications

Your use of the Supplier Portal is subject to AllyGPO’s Privacy Policy, to the extent applicable, and to any privacy, confidentiality, or data-use provisions contained in the Supplier Portal Terms.

AllyGPO may monitor, log, review, preserve, and disclose activity relating to the Supplier Portal as permitted by applicable law and the Supplier Portal Terms, including for security, authentication, troubleshooting, compliance, audit, and operational purposes.

By using the Supplier Portal, you consent to receive notices and other communications from AllyGPO electronically, including by email, in-portal notification, or posting within the Supplier Portal.

9. Third-Party Materials and Links

The Supplier Portal may contain links to third-party websites, products, content, services, or resources, or may make certain third-party functionality available. AllyGPO does not control and is not responsible for any third-party materials or services.

If you access or use any third-party materials or services, you do so at your own risk and subject to the applicable third-party terms and conditions.

10. Intellectual Property

The Supplier Portal and all Portal Content, including all software, interfaces, designs, text, graphics, logos, reports, compilations, and other materials made available through the Supplier Portal, are owned by AllyGPO, its licensors, or other applicable providers and are protected by intellectual property and other proprietary rights laws.

Except as expressly permitted under the Supplier Portal Terms, you must not:

  • reproduce, modify, distribute, publicly display, publicly perform, republish, download, store, transmit, or create derivative works from any portion of the Supplier Portal or Portal Content; or
  • remove, alter, obscure, or destroy any copyright, trademark, confidentiality, or other proprietary notice.

All rights not expressly granted are reserved.

11. Suspension and Termination

AllyGPO may suspend, restrict, or terminate your access to all or any portion of the Supplier Portal at any time, with or without notice, for any reason or no reason, including if AllyGPO believes that:

  • you are no longer authorized by the applicable supplier organization;
  • you have violated these Terms of Use or the Supplier Portal Terms;
  • your access presents a legal, security, operational, confidentiality, or compliance risk; or
  • suspension or termination is otherwise appropriate to protect AllyGPO, the Supplier Portal, users, suppliers, data sources, or third parties.

Upon suspension or termination, your right to access and use the Supplier Portal ceases immediately.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SUPPLIER PORTAL AND ALL PORTAL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

ALLYGPO DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, SECURITY, RELIABILITY, AND ERROR-FREE OPERATION, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

WITHOUT LIMITING THE FOREGOING, ALLYGPO DOES NOT WARRANT THAT THE SUPPLIER PORTAL WILL BE UNINTERRUPTED, SECURE, AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, FREE OF VIRUSES OR OTHER HARMFUL CODE, OR FREE OF ERRORS OR DEFECTS, OR THAT ANY ERRORS OR DEFECTS WILL BE CORRECTED.

TO THE EXTENT THE SUPPLIER PORTAL TERMS CONTAIN ADDITIONAL OR DIFFERENT WARRANTY DISCLAIMERS, THOSE DISCLAIMERS ALSO APPLY.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALLYGPO AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, USE, OR DATA, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SUPPLIER PORTAL OR ANY PORTAL CONTENT, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT THE SUPPLIER PORTAL TERMS CONTAIN ADDITIONAL OR DIFFERENT LIMITATIONS OF LIABILITY, THOSE LIMITATIONS ALSO APPLY.

NOTHING IN THESE TERMS OF USE EXCLUDES LIABILITY TO THE EXTENT SUCH LIABILITY CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

14. Changes to the Supplier Portal and These Terms of Use

AllyGPO may modify, suspend, or discontinue the Supplier Portal, or any feature, functionality, report, data set, or content made available through it, at any time, with or without notice.

AllyGPO may update these Terms of Use from time to time. Updated Terms of Use may be presented through the Supplier Portal or by other electronic means. Your access to and use of the Supplier Portal after the effective date of updated Terms of Use constitutes your acceptance of those updated Terms of Use, except to the extent AllyGPO requires express click-through acceptance as a condition of continued access.

15. Governing Law and Disputes

These Terms of Use are governed by the laws specified in the Supplier Portal Terms. To the extent governing law, venue, jurisdiction, or dispute resolution is not addressed in the Supplier Portal Terms, these Terms of Use are governed by the internal laws of the State of Delaware, without regard to conflict of laws principles, and any action arising out of or relating to these Terms of Use or the Supplier Portal will be brought exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.

16. Entire Agreement; Order of Precedence

These Terms of Use are supplemental to the Supplier Portal Agreement and the Supplier Portal Terms and do not replace them. Together, these Terms of Use, the Supplier Portal Terms, and any other terms expressly incorporated by reference govern your access to and use of the Supplier Portal.

In the event of any conflict, the following order of precedence applies:

  • the Supplier Portal Agreement;
  • the Supplier Portal Terms; and
  • these Terms of Use.

These Terms of Use do not amend, modify, supersede, or waive any other agreement unless expressly stated in the Supplier Portal Agreement.

17. Waiver and Severability

No waiver by AllyGPO of any provision of these Terms of Use will be deemed a further or continuing waiver of that provision or any other provision. If any provision of these Terms of Use is held invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

18. Survival

Any provision of these Terms of Use that by its nature should survive suspension, termination, or expiration of your access to the Supplier Portal will survive, including provisions relating to intellectual property, disclaimers, limitations of liability, governing law, dispute resolution, and other post-termination obligations.
